Welcome to Downriver Automation LLC. These Terms of Service govern your use of our website at downriverautomation.com, the Downriver Trades mobile application, and our services. By accessing or using our Services, you agree to be bound by these Terms.

1. Services Overview

Downriver Automation LLC provides the Downriver Trades mobile application — a marketplace platform connecting homeowners with local contractors and service providers in the Downriver Michigan area.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By creating an account on the Downriver Trades app, you represent that you are at least 18 years of age.

3. Downriver Trades Mobile Application

The Downriver Trades app is a marketplace platform that connects homeowners with local contractors. The following terms apply specifically to use of the app:

Platform Only: Downriver Automation LLC provides the technology platform only. We are not a contractor, service provider, or employer. We do not perform, supervise, or guarantee any work performed by contractors listed on the platform.

Account Registration: To access app features, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

Contractor Listings: Contractors who create profiles represent that the information they provide is accurate and truthful. Contractors are solely responsible for maintaining valid licenses, insurance, and certifications as required by Michigan state and local law. A "Verified" badge indicates completion of our verification process but does not constitute an endorsement or guarantee of work quality.

Homeowner Responsibilities: Homeowners are responsible for evaluating contractors, checking references, verifying licenses and insurance, and making their own hiring decisions. Any agreement between a homeowner and contractor is strictly between those two parties.

Reviews and Content: Users may post reviews, ratings, photos, and other content. You retain ownership of content you post but grant Downriver Automation LLC a non-exclusive, royalty-free license to use, display, and distribute such content within the platform. Reviews must be honest and based on genuine experiences.

User Conduct: You agree not to post false, misleading, or fraudulent information; harass, threaten, or abuse other users; impersonate any person or entity; post spam or unauthorized advertising; attempt to circumvent the platform to avoid fees; or interfere with the proper functioning of the app.

Subscriptions and Payments: Contractors may subscribe to paid plans for enhanced features and visibility. Subscription fees are billed monthly through Stripe. All fees are non-refundable except as required by law. We reserve the right to change subscription pricing with 30 days notice.

Termination: We may suspend or terminate your account at any time for violation of these Terms. You may delete your account at any time by contacting us at support@downriverautomation.com.

4. Acceptable Use

You agree not to use our Services to violate any law, transmit spam, or use them for any fraudulent purpose.

5. Intellectual Property

All content and functionality of our website, mobile applications, and Services are owned by Downriver Automation LLC and protected by intellectual property laws.

6. Disclaimer of Warranties

Our Services, including the Downriver Trades app, are provided "as is" and "as available" without warranties of any kind. We do not warrant that the app will be uninterrupted, error-free, or secure. We make no representations about the quality, reliability, or suitability of any contractor listed on the platform.

7. Limitation of Liability

Downriver Automation LLC shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to damages arising from any work performed by contractors found through the Downriver Trades platform, any disputes between homeowners and contractors, or any loss of data, revenue, or profits. Our total liability shall not exceed the amount you paid us in the 12 months prior to the claim.

8. Dispute Resolution

Any disputes arising from these Terms or your use of our Services shall first be attempted to be resolved informally by contacting us. If a dispute cannot be resolved informally, it shall be resolved through binding arbitration in Wayne County, Michigan.

9. Privacy

Your use of our Services is governed by our Privacy Policy.

10. Governing Law

These Terms are governed by the laws of the State of Michigan. Disputes shall be resolved in Wayne County, Michigan.

11. Modifications

We reserve the right to modify these Terms at any time. We will notify users of material changes through the app or by email. Continued use of the platform after changes constitutes acceptance of the updated Terms.
